Night Society is operated by Nightsociety LLC, a company incorporated in the State of Colorado, United States.

By accessing or using the Platform, the user agrees to be bound by these Terms and Conditions.

1. NATURE OF THE SERVICE

Night Society is a professional networking platform that enables verified users to:

  • Publish in-person events
  • Express interest in participating
  • Coordinate logistics
  • Build professional reputation

The Platform provides technological infrastructure only.

Night Society:

  • Does not organize events
  • Does not represent users
  • Does not negotiate terms
  • Does not set prices
  • Does not act as an agency
  • Does not act as a financial intermediary
  • Does not participate in private agreements

The Platform does not facilitate or promote dating, companionship, escorting, or intimate services.

2. STRICTLY PROHIBITED USES

The Platform may not be used for:

  • Escort or companionship services
  • Intimate or sexual activities
  • Suggestive or explicit proposals
  • Personal companionship arrangements
  • Illegal activities
  • Compensation in exchange for personal interaction

Any indication of misuse may result in:

  • Immediate suspension
  • Permanent account removal
  • Restricted access

Night Society may implement automated systems to detect and review inappropriate content.

3. EVENTS AND USER AGREEMENTS

There are only two types of events:

Invitation Events

Events without compensation managed within the Platform.

Paid Events

Events where users may independently agree on external compensation.

Night Society:

  • Does not establish pricing
  • Does not supervise compensation
  • Does not process payments between users
  • Does not hold funds
  • Does not participate in event execution

Any financial agreement occurs outside the Platform and under the sole responsibility of the users involved.

Night Society cannot be considered a contractual or financial intermediary.

4. MEMBERSHIPS AND VISIBILITY FEATURES

Memberships:

  • Grant access to private network features
  • Do not guarantee selection
  • Do not constitute employment
  • Do not guarantee income
  • Do not represent purchase of personalized digital content

Promotional tools (such as “Urgent” or featured placement):

  • Are internal visibility tools
  • Do not guarantee results
  • Are non-refundable once activated
  • Have temporary effect

5. IDENTITY VERIFICATION

The Platform may require:

  • Government-issued ID
  • Biometric selfie verification
  • Technical identity confirmation

Verification:

  • Does not validate future conduct
  • Does not make Night Society a guarantor of behavior
  • Does not eliminate risks inherent in in-person interactions

6. REPUTATION SYSTEM

The Platform includes:

  • Ratings
  • Participation history
  • Structured reports
  • Reputation indicators

Ratings reflect subjective user opinions and do not constitute official statements by Night Society.

Night Society may:

  • Reduce visibility
  • Restrict features
  • Require additional verification
  • Suspend accounts

7. COMMUNICATION

The in-app messaging system is strictly intended for logistical coordination related to events.

The following are prohibited:

  • Personal conversations unrelated to the event
  • Intimate or suggestive communication
  • Inappropriate conduct

The Platform may use automated compliance monitoring systems.

8. DISCLAIMER OF LIABILITY

Night Society:

  • Does not supervise physical events
  • Does not guarantee attendance
  • Does not intervene in disputes
  • Is not responsible for breaches of agreement
  • Is not responsible for cancellations
  • Is not responsible for financial losses
  • Is not responsible for third-party misconduct

Participation in any event is voluntary and at the user’s own risk.

9. USER RELATIONSHIP

Users act as independent parties.

Nothing within the Platform creates:

  • Employment relationships
  • Agency relationships
  • Representation
  • Partnership

Night Society does not employ or contract users.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Night Society shall not be liable for:

  • Indirect damages
  • Loss of income
  • Reputational damage
  • Third-party conduct
  • Private disputes

11. ENFORCEMENT AND TERMINATION

Night Society may:

  • Suspend accounts
  • Cancel memberships
  • Limit features
  • Remove events

Without prior notice when necessary to protect community safety or platform integrity.

12. COMPLIANCE STATEMENT

Night Society is a professional networking platform.

It does not facilitate, promote, or intermediate escorting, dating, companionship, or compensation for personal interaction.

Any use inconsistent with this purpose constitutes a material breach of these Terms.

(This clause is particularly important for App Store compliance.)

13. GOVERNING LAW

These Terms are governed by the laws of the State of Colorado, United States.

Any dispute shall be resolved by the competent courts of Boulder, Colorado.
